ShowMeBus Reseller Agreement

This agreement governs the reseller’s use of the ShowMeBus booking portal, wallet, credit facilities, tickets, reports, and related services.

1. Appointment and sales model

ShowMeBus appoints the reseller on a non-exclusive basis to reserve and sell eligible journeys. The reseller is the merchant of record for its passenger and is responsible for collecting the passenger payment and issuing any passenger-facing payment receipt required by law.

2. Prices, reseller margin, and passenger markup

ShowMeBus calculates the official retail value, approved reseller margin, wholesale wallet debit, and any permitted passenger markup for each booking. Route-specific rules take precedence over operator rules and reseller-wide rules. The reseller may apply markup only when enabled by ShowMeBus and only within the approved limit.

No reseller margin or markup may reduce protected operator payables, mandatory fees, taxes, or non-discountable extras. The commercial snapshot stored at confirmation governs the booking.

3. EUR wallet, funding, and credit

Reseller top-ups are accepted only in EUR through an enabled payment provider or an Admin-approved bank transfer. Online funds become available only after verified capture; bank transfers require approval. Wallet entries are immutable and corrections are made through reversing entries.

Any approved credit limit, payment term, due date, freeze, or suspension is account-specific. Top-ups first repay used credit before creating a positive prepaid balance. ShowMeBus may block new reservations or confirmations for insufficient funds, overdue credit, frozen accounts, chargebacks, or reconciliation risk.

4. Reservations, tickets, and passenger communication

A wallet hold is created atomically with the seat reservation and becomes a debit only after confirmation. Expired or failed reservations release their holds. The reseller must provide accurate passenger and document information and deliver ShowMeBus travel documents and operational notices without alteration.

The passenger receives ShowMeBus tickets and travel notifications but no ShowMeBus payment receipt for the reseller’s retail sale. The reseller receives the applicable wholesale booking document.

5. Amendments and passenger data

Name or document changes are permitted only within the portal rules, contractual or operator cutoffs, and before ticket scan or use. Passenger count, passenger type, and travel date cannot be changed unless ShowMeBus expressly enables those functions.

The reseller must process passenger data only for booking and travel purposes, restrict access to authorized staff, use individual accounts and two-factor authentication where required, and promptly report suspected unauthorized access.

6. Cancellations, refunds, and chargebacks

Cancellations follow the applicable journey and operator review policy. Any wallet credit is based on the eligible original wholesale debit, not the passenger selling price, and is posted only after refund completion. The reseller remains responsible for its own passenger refund and consumer-law obligations.

Provider refunds, chargebacks, duplicate claims, or funding reversals may create a wallet debit, credit exposure, freeze, or reconciliation review. Unused wallet funds are not automatically withdrawable.

7. Statements, records, taxes, and reconciliation

The reseller must review booking documents, wallet activity, credit due dates, and monthly statements and notify ShowMeBus promptly of a genuine discrepancy. Currency totals remain separate and must not be combined.

Each party is responsible for its own accounting, invoicing, tax, VAT, and record-retention duties. Platform contribution, operator payable, reseller margin, processor cost, and customer charges are distinct financial concepts.

8. Compliance and acceptable use

The reseller must use accurate journey information, comply with consumer, sanctions, anti-fraud, privacy, and marketing laws, and must not misuse passenger identities, payment systems, booking inventory, reports, exports, APIs, tickets, QR codes, or confidential commercial terms.

9. Suspension and termination

ShowMeBus may freeze funding, block bookings, suspend users, or terminate reseller access for overdue credit, fraud, abuse, security risk, contract non-acceptance, material breach, or legal and operator requirements. Historical bookings, journal entries, statements, audit records, payment obligations, and completed acceptance evidence remain preserved.

10. Changes and authority

Only an authorized reseller administrator may accept this agreement for the reseller. Published versions are immutable. When a new version applies to existing resellers, ShowMeBus will provide an acceptance deadline and may restrict new booking activity after that deadline.
